Welcome to XetaAI. These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services, including TradeSuite (automated trading platform), ChartAI (AI-powered chart analysis tool), and XI Wallet (non-custodial decentralized cryptocurrency wallet) (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By using the Services, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. You agree to comply with all applicable laws and regulations.

2. Description of Services

XetaAI provides AI-driven tools for trading and asset management:

• TradeSuite: Automated trading software with strategy deployment, backtesting, and exchange integrations (e.g., Bitget, Bybit, Apex).
• ChartAI: AI-based chart analysis for identifying potential entry/exit points.
• XI Wallet: Non-custodial wallet for sending, receiving, and swapping cryptocurrencies on supported blockchains.

These are tools only and do not provide financial advice.

3. User Accounts and Subscriptions

For TradeSuite and ChartAI, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your credentials.

Subscription Plans: Access to TradeSuite and ChartAI requires a paid subscription, available on a monthly or annual basis. Pricing is displayed on our website and may be updated at our discretion with reasonable notice (except for renewals, which will be at the then-current rate).

• Monthly Subscriptions: Billed monthly in advance. If you cancel a monthly subscription, you will retain access until the end of the current billing period. No partial-month refunds are provided.
• Annual Subscriptions: Billed annually in advance. Cancellations are effective at the end of the current annual term. No refunds for the unused portion of the term.
• No Refunds: All payments are non-refundable, except where required by law.
• Failed Payments: If a payment fails (e.g., declined card), access to subscription-based Services will be automatically suspended until payment is successfully processed. We may attempt to retry failed payments.

Subscriptions auto-renew unless cancelled. You authorize us to charge the applicable fee to your chosen payment method. Taxes may apply.

4. User Responsibilities

• Use the Services lawfully and not for illegal purposes.
• Do not reverse engineer, decompile, or hack the Services.
• Do not upload malicious content or infringe third-party rights.
• For XI Wallet, secure your private keys; we cannot recover lost funds.
• Comply with all exchange and blockchain terms when integrating.

5. Intellectual Property

All content, software, and trademarks in the Services are owned by XetaAI or licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial use. No transfer of ownership.

6. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Financial Advice: TradeSuite, ChartAI, and related tools are for informational and educational purposes only. They do not constitute financial, investment, or trading advice. We are not financial advisors. Always conduct your own research (DYOR) and consult qualified professionals. We strongly recommend paper trading before live use.

Risks: Trading and cryptocurrency involve substantial risk of loss, including total loss of capital. Past performance, backtests, or AI analyses are not indicative of future results. You assume all risks and are solely responsible for your decisions and losses.

7. Limitation of Liability

To the fullest extent permitted by law, XetaAI, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or funds, arising from your use of the Services, even if advised of the possibility. Our aggregate liability shall not exceed the total fees paid by you to XetaAI in the 12 months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless XetaAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

9. Termination

We may suspend or terminate your account and access to the Services at any time, without notice or liability, for any reason, including breach of these Terms, non-payment, or suspicious activity. Upon termination, your right to use the Services ceases immediately. Subscription fees already paid are non-refundable.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under or related to these Terms shall be resolved exclusively through binding arbitration in London, UK, administered by the London Court of International Arbitration (LCIA) under its rules. You waive any right to participate in class actions or jury trials.

11. Changes to Terms

We may modify these Terms at any time. Changes will be posted on our website with the updated effective date. Your continued use of the Services after changes constitutes acceptance. Review periodically.

12. Miscellaneous

Severability: If any provision is held invalid, the remainder remains in full effect.

No Waiver: Failure to enforce any right does not waive it.

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and XetaAI.

Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., acts of God, network outages).
